Terms and Conditions for Optimum Thinking Courses, Products and the Optimum Life Journal App

This website at the domain http://www.OptimumThinking.net / (Website) and the Optimum Life Journal app (App) are operated by Kempe Holdings Pty Ltd ATF Kempe Holdings Trust trading as Optimum Thinking (“us/we/our”) (ABN 13 793 983 586) (“Optimum Thinking”) (we, us or our).

Acceptance of Terms and Conditions

Your access and use of the Website and/or the App is conditional upon your acceptance and compliance with these terms and conditions and our Privacy Policy (Website Terms of Use).

We may amend these Terms of Use from time to time without notice. By continuing to use our courses, products, or the App you accept and are bound by the Terms of Use as they apply from time to time.

Thank you for choosing to participate in our personal development courses, products, and the Optimum Life Journal app. Please read the following Terms and Conditions carefully. By enrolling in and attending our courses, purchasing our products, or creating an account and using the App, you agree to the following:

1. Educational Purpose Only

All content delivered during our courses and in any related products — including the App — whether written, spoken, presented, or made available through software, is for general educational and self-development purposes only. It is not intended to be, nor should it be interpreted as, medical, psychological, legal, or financial advice. Always seek appropriate professional advice where necessary.

2. No Guarantees of Outcomes

We provide tools, strategies, and information designed to support your personal development through our courses, products, and the App. However, your results depend on your own effort, application, and individual circumstances. We do not guarantee specific outcomes or results.

3. Participant Responsibility

You are responsible for your own choices, actions, and well-being throughout and after using our courses, products, or the App.

By participating or purchasing, you agree to take full responsibility for how you apply the information provided.

By participating, you agree to:

         engage with the material in a way that is safe and appropriate for you

         use your own judgement and seek appropriate professional advice when needed

         take breaks, pause, or stop any activity that feels unsafe or unsuitable

         respect other participants and maintain a constructive learning environment (where applicable)

If your participation involves any physical activity (e.g., movement, breathwork), you confirm you are fit to participate and will modify or stop as needed.

4. Health and Wellbeing

If you have any mental health conditions, or are currently receiving treatment from a healthcare professional, we recommend consulting with them before using our courses, products, or the App.

Our courses, products, and the App are not a substitute for therapy, counselling, medical care, mental health care, diagnosis, or treatment. If you have a medical condition, mental health condition, are experiencing severe distress, or have concerns about your wellbeing, please consult a qualified health professional.

If you are in immediate danger or need urgent support in Australia, call 000. You can also contact Lifeline on 13 11 14.

The App may allow you to record information about your mood, emotional state, or personal circumstances. This kind of information may be treated as sensitive information under Australian privacy law, and we only collect it with your consent. Full detail on what we collect, how we store it, and how you can access, export, or delete it is set out in our separate Privacy Policy, which forms part of these Terms.

5. Respectful Conduct

We are committed to providing a respectful and inclusive environment for all participants and users. We reserve the right to remove any participant who behaves in a way that is disruptive, disrespectful, or harmful to others, without refund.

6. Course Access and Copyright

Course materials (including recordings, workbooks, slides, and handouts) are provided for your personal use only. All intellectual property remains the property of Optimum Thinking and may not be copied, shared, or used for commercial purposes without written permission.

Unless stated otherwise, we own (or licence) all intellectual property in our courses and products, including videos, workbooks, slides, templates, exercises, recordings, written material, branding, and logos. This section covers course and product materials; the App itself is licensed to you under Section 7 (App Licence) below.

You may:

         use the materials for your own personal use (and within your organisation only if you purchased a team licence)

         download and print materials for your personal use, unless access is provided only online

You may not:

         share, sell, distribute, sublicense, upload, or reproduce the materials for others without written permission

         record, copy, or republish course content (including screenshots) except where we expressly allow it

         remove copyright notices or claim the work as your own

7. App Licence

Subject to your compliance with these Terms and payment of any applicable subscription fees, we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the Optimum Life Journal app for your own personal use.

This licence does not give you any ownership interest in the App or its underlying software. You must not copy, modify, reverse-engineer, decompile, or create derivative works from the App, resell or sublicense access to it, or use it to build a competing product.

We may update or modify the App from time to time, including to add, change, or remove features, and we do not guarantee that any specific feature will remain available indefinitely.

The App is currently only available through the Website. If we make the App available through the Apple App Store or Google Play in the future, additional terms required by those platforms will apply to app store downloads and will be published at that time.

8. Accounts

You must be at least 18 years old to create an account and use the App.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorised access to your account.

We may suspend or terminate your account, with or without notice, if we reasonably believe you have breached these Terms, engaged in fraudulent or abusive conduct, or if payment is overdue and not remedied within 7 days of us notifying you.

9. Payment and Refunds

This section applies to courses, live workshops, and one-off digital products. For the App's recurring subscription billing, see Section 10 (App Subscription Billing) below.

Payment is required prior to access or delivery of courses or products. Refunds are not available for change of mind. If you are unable to attend a course, we may, at our discretion, allow you to transfer your enrolment to another date or person. Where required by law, refunds will be provided in accordance with Australian Consumer Law.

Scenario:

         Change-of-mind refunds — available within 7 days of purchase if less than 20% of content accessed

         Live workshop cancellations — full refund up to 14 days prior; credit within 7 days prior; no refund within 48 hours

         Digital products (downloads) — no change-of-mind refunds once downloaded, except as required by ACL

         Payment plans — access may pause if payments are overdue; remaining instalments are still payable unless ACL applies

         Special offers / bundles — refund calculations for bundles if partial refunds offered

10. App Subscription Billing

The App is offered on a subscription basis (monthly or annual, as selected at sign-up). By subscribing, you authorise us to charge your nominated payment method automatically at the start of each billing period until you cancel.

We will not increase your subscription price without giving you at least 30 days' notice by email; continued use of the App after that date constitutes acceptance of the new price.

You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, after which you will not be charged again. Fees already paid are non-refundable except as required by Australian Consumer Law.

Founding member pricing of $67/yr is available to the first 200 members who subscribe during the founding period. It remains locked in for as long as the subscription continues without a lapse in payment. It is not transferable to another person or account.

11. Your Journal Content

You retain all ownership of the entries, notes, and other content you create within the App (“Your Content”). We do not claim ownership of Your Content.

You grant us a limited licence to store, back up, and process Your Content solely for the purpose of operating and improving the App for you. We will not access, read, or use Your Content for any other purpose, except where required to provide customer support at your request, to comply with the law, or to investigate a suspected breach of these Terms.

You are responsible for the legality and appropriateness of Your Content.

12. Cancellation and Changes

We reserve the right to cancel, reschedule, or modify any course, product, or the App, and will make reasonable efforts to notify you as soon as possible. If we cancel a course or discontinue a product or the App and cannot offer a suitable alternative, a full refund (or, for the App, a pro-rata refund of your current billing period) will be issued.

13. Limitation of Liability

To the maximum extent permitted by law, we exclude all liability for any direct or indirect loss, damage, or injury that may result from your participation in a course, your use of any product or the App, or reliance on any information provided.

14. Privacy

We collect personal information as part of your registration and/or purchase, and as part of your use of the App. Your information will be handled in accordance with our Privacy Policy and Australian privacy laws. We do not sell or rent your personal information to third parties.

Full details of what personal information we collect (including any information you enter into the App), how we store and secure it, where it may be held, and how you can access, export, or delete it are set out in our separate Privacy Policy, which forms part of these Terms and governs all data-handling matters.

If your program includes community spaces (e.g., groups, forums, live calls), please remember that other participants may see what you share. Share only what you are comfortable sharing.

15. Data, Location, and Account Deletion

If you cancel your subscription or your account is terminated, you may export Your Content via the function in the app within 30 days of cancellation or termination. After that period, Your Content will be permanently deleted from our systems, except where we are required to retain it by law.

Details of where and how your data is stored, including any storage or processing outside Australia, are set out in our Privacy Policy.

16. Access, Delivery, and Technology

Access details (including logins, links, and delivery dates) will be provided after purchase. For online delivery and use of the App, you are responsible for having suitable internet access and a compatible device.

We may update content or the App from time to time to improve quality or keep information current. Where live sessions are included, dates and times may change for reasons outside our control; we will provide reasonable notice.

We aim to keep the App available at all times but do not guarantee uninterrupted access. The App may be unavailable during maintenance, updates, or due to circumstances outside our control, including internet or third-party service outages.

While we take reasonable steps to protect your data, no method of electronic storage or transmission is completely secure, and we cannot guarantee absolute security.

17. Confidentiality and Community Conduct (where applicable)

We ask all participants to treat shared stories and experiences with respect. You agree not to share other participants’ personal information outside the program.

To keep the learning environment safe and constructive, we may remove access (without refund) if you:

         harass, bully, threaten, or discriminate against others

         share content that is unlawful, hateful, or explicit

         spam, promote unrelated services, or disrupt sessions

         breach confidentiality or these Terms
